Payments

Late Payment Policy

• Grace period: 5 days from due date
• After grace period: Services paused until payment received

Refund Policy

• Setup/onboarding fees are non-refundable once work begins
• Monthly retainers are non-refundable once the month begins
• Annual plans: Pro-rata refund minus 20% early termination fee
• Refunds processed within 15 business days

Minimum Commitment

• Starter, Growth, Dominance: Minimum 3-month initial commitment
• Authority, Monopoly, Empire: Minimum 6-month initial commitment
• After minimum period: Month-to-month with 30 days notice
• Quarterly/Annual plans: As per selected duration

Termination by Client

• Provide written notice 30 days before intended end date
• Email notice to: contact@webwonderworks.in
• Complete pending payments for services rendered
• Early termination fee: Remaining months at 50% rate (monthly plans)

Termination by Web Wonder Works LLP

• Non-payment beyond 30 days
• Repeated failure to provide necessary access/approvals
• Request to perform unethical or illegal activities
• Breach of contract terms
• Abusive behavior towards team members

Upon Termination

• All access credentials returned/transferred within 7 days
• Final deliverables (content, designs) handed over
• Final invoice for any outstanding work
• 30-day transition support (queries only)
• Data export provided upon request

Ownership Upon Termination

• All social media accounts remain client property
• All content created remains client property
• Strategies and SOPs developed are Web Wonder Works LLP property
• Third-party tool subscriptions need to be transferred/cancelled

Client Retains Ownership Of:

• All social media accounts and their content
• Website and all website content
• Domain names and hosting accounts
• Ad accounts and advertising data
• Customer data and lead information
• All graphics, videos, and content created for the client
• Logo and brand identity assets (once final payment received)

Web Wonder Works LLP Retains Ownership Of:

• Proprietary methodologies and processes
• Strategy frameworks and templates
• Internal tools and software
• Generic templates (non-customized)
• Training materials and SOPs

Portfolio Rights

• Web Wonder Works LLP may showcase work in portfolio (unless NDA signed)
• Case studies may be created with client approval
• Client logo may be displayed in client list

Third-Party Assets

• Stock images: Licensed for client's specific use only
• Fonts: Commercial licenses arranged where needed
• Music/Audio: Licensed per project requirements

Performance Disclaimer

While we employ industry best practices and proven strategies, Web Wonder Works LLP cannot guarantee specific results such as:

• Exact number of leads or sales
• Specific follower counts or engagement rates
• Return on advertising spend (ROAS)
• Viral content success

Platform Dependencies

Our services rely on third-party platforms (Google, Meta, LinkedIn, etc.). We are not responsible for:

• Algorithm changes affecting reach/rankings
• Platform outages or technical issues
• Policy changes affecting ad delivery
• Account suspensions due to platform decisions
• Feature deprecation or changes

Limitation of Liability

• Maximum liability: Total fees paid in the 3 months prior to claim
• No liability for indirect, consequential, or incidental damages
• No liability for lost profits or business opportunities
• No liability for third-party claims

Indemnification

Client agrees to indemnify Web Wonder Works LLP against claims arising from:

• Content provided by client that infringes third-party rights
• False or misleading claims client requests us to publish
• Products/services client offers
• Client's violation of laws or regulations

Informal Resolution (First Step)

Both parties agree to attempt informal resolution before pursuing legal action:

• Written complaint to be submitted via email
• Response within 7 business days
• Discussion call/meeting within 14 days
• Resolution attempt period: 30 days

Mediation (Second Step)

If informal resolution fails:

• Both parties agree to mediation
• Mediator to be mutually agreed upon
• Location: Coimbatore, Tamil Nadu
• Costs split equally between parties

Arbitration (Final Step)

If mediation fails:

• Binding arbitration under Arbitration and Conciliation Act, 1996
• Single arbitrator mutually appointed
• Seat of arbitration: Coimbatore, Tamil Nadu
• Language: English

Governing Law & Jurisdiction

• Governed by laws of India
• Exclusive jurisdiction: Courts of Coimbatore, Tamil Nadu

Force Majeure

Neither party liable for failure to perform due to:

• Natural disasters
• War, terrorism, or civil unrest
• Government actions or regulations
• Pandemic or epidemic
• Internet/infrastructure failures beyond control
